Terms of Service

By downloading, accessing, or using the Ezlist mobile application (“Ezlist”, the “App”, or the “Service”), you (“you” or “User”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not download or use the App.
Please read Sections 2, 3, 9, 10, 11, and 13 carefully. They disclose important risks, limit our liability, and affect your legal rights — including how disputes are resolved and a waiver of class actions.
1. Description of Service
Ezlist is a listing management assistant that helps you create and publish product listings using artificial intelligence. The app analyzes product photos and generates listing content (title, description, price suggestions, category, tags) which can then be published, at your direction, to one or more of the following platforms:
- Facebook Marketplace — using your own Facebook account session (see Section 2).
- eBay — using an authorized OAuth connection to your eBay seller account.
- Etsy — using an authorized OAuth connection to your Etsy shop.
- Reverb — using an authorized OAuth connection to your Reverb account.
You choose which platforms to publish to. Connecting a marketplace is optional and can be revoked at any time.
2. Automation Disclosure — READ CAREFULLY
Ezlist publishes to Facebook Marketplace by automating actions within your own Facebook account session — the app performs, on your behalf and at your instruction, the same steps you could perform manually. Facebook (Meta) does not offer a public Marketplace API, and Facebook’s Terms of Service, automation policies, and community standards may restrict or prohibit automated or programmatic activity.
As a result, using Ezlist to publish to Facebook Marketplace may place your Facebook account at risk of a warning, checkpoint, temporary restriction, or permanent suspension. Ezlist has no control over, and cannot predict, appeal, or reverse, any enforcement action Facebook takes against your account. You acknowledge that you use the Facebook publishing feature entirely at your own discretion and risk, and that Ezlist and its developer are not responsible for any loss of access, data, sales, or reputation resulting from any such action.
The eBay, Etsy, and Reverb integrations operate through those platforms’ official, authorized APIs and do not rely on automation of your session.
3. Assumption of Risk
You understand and voluntarily accept that selling online, automating account activity, and relying on AI-generated content each carry inherent risks, including but not limited to account restrictions, listing removals, pricing errors, buyer disputes, and financial loss. You assume full responsibility for these risks and for your decision to use the Service.
4. Eligibility and User Responsibilities
- You must be at least 18 years old, and old enough to form a binding contract in your jurisdiction, to use Ezlist.
- You are solely responsible for the accuracy, legality, and quality of the listings you publish.
- You must comply with the Terms of Service, community standards, and listing policies of each marketplace you use:
- You must not use Ezlist to publish illegal, fraudulent, counterfeit, stolen, or prohibited items on any platform.
- You must have the legal right to sell the items you list.
- You are responsible for maintaining the security of your account credentials and any connected marketplace accounts.
- You are solely responsible for fulfilling orders, arranging shipping, handling returns, paying applicable taxes, and communicating with buyers on every marketplace you use.
5. Third-Party Marketplace Connections
When you connect your eBay, Etsy, or Reverb account through Ezlist, you authorize us to perform listing actions on your behalf via each platform’s official API. This authorization is limited to the specific permissions you grant during the OAuth flow. You can revoke access at any time by disconnecting the account in the app or through the marketplace’s own account settings.
Ezlist is an independent service. Any issues related to your marketplace account, transaction disputes, chargebacks, fees, or policy violations must be resolved directly with the relevant platform.
6. Acceptable Use
You agree not to use Ezlist to:
- Publish listings for prohibited, illegal, counterfeit, or stolen products on any marketplace.
- Spam, post duplicate listings, or engage in listing manipulation.
- Misrepresent the condition, price, authenticity, or nature of products.
- Violate the intellectual property rights of any third party.
- Reverse engineer, decompile, resell, or redistribute the App or its underlying technology.
- Violate any applicable local, national, or international law or regulation.
7. Intellectual Property and License
The Ezlist app, its name, logo, design, and underlying technology are owned by Epitaxy Lab LLC, a Texas limited liability company, and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for its intended purpose. You retain ownership of the photos and content you upload, and grant us a limited license to process that content solely to generate and publish listings on your behalf.
8. Subscriptions and Payments
Ezlist may offer auto-renewing subscriptions purchased through the Apple App Store. Payment is charged to your Apple ID account. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. You manage or cancel subscriptions in your Apple ID account settings. Except where required by law, payments are non-refundable; refund requests are handled by Apple under its policies.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that:
- Listings will be published successfully on any marketplace.
- Facebook, eBay, Etsy, or Reverb will not flag, remove, reject, or restrict listings or accounts.
- AI-generated listing content (including prices) will be accurate, complete, or optimal.
- The service will be uninterrupted, secure, timely, or error-free.
- OAuth connections to marketplaces will remain active without interruption.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EZLIST AND ITS DEVELOPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR MARKETPLACE ACCESS, arising out of or relating to your use of the Service, including but not limited to:
- Account warnings, suspensions, checkpoints, or restrictions on Facebook, eBay, Etsy, or Reverb.
- Listing removals or policy violations on any marketplace.
- Losses arising from incorrect or AI-generated listing content or price suggestions.
- Delays or failures in publishing due to marketplace API outages or automation blocks.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF EZLIST AND ITS DEVELOPER, FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE, EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Epitaxy Lab LLC and Ezlist, and their affiliates, from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) the listings, content, or items you publish; (c) your violation of these Terms or of any marketplace’s policies; or (d) your violation of any law or of any third party’s rights.
12. No Affiliation; Trademarks
Ezlist is an independent product and is not affiliated with, endorsed by, sponsored by, or in any way officially connected to Meta Platforms, Inc. (Facebook), eBay Inc., Etsy, Inc., or Reverb.com, LLC. All product names, logos, and brands are the property of their respective owners and are used for identification purposes only.
13. Binding Arbitration; Class Action Waiver
Except for claims that qualify for small-claims court or seek injunctive relief for intellectual-property infringement, any dispute arising out of or relating to these Terms or the Service shall be resolved by final and binding arbitration administered under the rules of the American Arbitration Association, on an individual basis, in or near Denton County, Texas.
You and Ezlist agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person’s claims. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms.
14. Account Termination
We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination, your OAuth connections to eBay, Etsy, and Reverb will be revoked and all stored tokens will be deleted. You may delete your account at any time using the “Delete Account” option in the app.
15. Changes to Terms
We may modify these Terms at any time. Continued use of the app after changes take effect constitutes acceptance of the new Terms. We will notify you of material changes via the app or email.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-law principles. Subject to Section 13, the exclusive venue for any dispute not subject to arbitration shall be the state and federal courts located in Denton County, Texas, and you consent to their personal jurisdiction.
